It is important that you read all of these terms and conditions carefully.

1. Use of Site

This website (the “Site”) is provided by the Infant and Early Mental Health Promotion at the Hospital for Sick Children (“IEMHP”). Your access to and continued use of the Site constitutes your acceptance of, and is conditional upon, your continued acceptance and compliance with these General Terms and Conditions of Use (“Terms”) and all applicable laws. Please check back periodically as these terms and conditions may change from time to time. Your continued use of the Site means you accept those changes.

2. Ownership

Unless otherwise specified on the Site, this Site, and its content (the “Information”), and all associated copyright is owned by IEMHP. Certain words, phrases, names, designs or logos used on the Site may constitute trademarks, service marks or trade names of IEMHP or other entities. The Site and all of its Information is the property of IEMHP and others and is protected by Canadian and international copyright, trademark and other laws. Your use of the Site does not transfer to you any ownership or other rights in the Site or its Content. Any unauthorized distribution, transmission or publication of the Site or its Content is strictly prohibited.

3. Disclaimer

The Information on the Site, including but not limited to articles, opinions, and views, is provided for educational information purposes only. It is not designed or intended to constitute medical advice or to be used for diagnosis. Online resources are not a substitute for the personalized judgment and care of a trained medical professional.

The Information on this Site is not intended as emergency or crisis help. If you require help with an emergency, contact your local emergency services: in Ontario call 911 or go to your local hospital emergency room.

Any Information created by us is believed to be reliable when posted and may be changed from time to time without notice. 4. Permitted Use of Site

Except as otherwise provided for in these Terms, you may only use this Site for lawful, personal, non-commercial purposes. You are granted a limited, non-exclusive, non-transferable, non-sub-licensable license to use the Content for personal non-commercial use only, provided the content is not modified and all copyright and other proprietary notices are retained. Any other use is strictly prohibited without IEMHP’s prior written permission and the permission of any applicable rights holders. None of the Content may be otherwise reproduced, republished or re-disseminated in any manner or form without the prior written consent of an authorized representative of IEMHP.

5. Limitation of Liability

You agree that in no event shall IEMHP, its affiliates, its officers, directors, employees, agents, licensors or their respective successors and assigns have any responsibility or liability for any special, indirect, incidental or consequential losses or damages of any kind, including, without limitation, personal injury resulting from following any advice or information given on the Site, any loss or damages in the nature of or relating to lost business, lost savings, lost data or otherwise, regardless of the cause, whether arising in contract (including fundamental breach), tort (including negligence), or otherwise. This limitation applies even if IEMHP knew of or ought to have known of the possibility of such damages.

IEMHP expressly disclaims any and all liability for the acts, omissions or conduct of any third-party user of the Site or any advertiser or sponsor of the Site (collectively, a “Third Party”). Under no circumstances shall IEMHP or its affiliates, officers, directors, employees, agents, or licensors be liable for any injury, loss, damage (including special, indirect, incidental or consequential damages), or expense arising in any manner whatsoever, directly or indirectly, from (1) the acts, omissions, or conduct of a Third Party; or (2) any use or inability to use any content located at or made available at any website linked to or from the Site. 

You hereby release IEMHP and its officers, directors, employees, agents and their respective successors and assigns from any injury, loss, damages or expenses that you may incur, and agree not to assert any claims against them, arising directly or indirectly from your purchase or use of any products or services referenced by or made available through the Site or by third parties through the Site.

6. Indemnity

You hereby agree to indemnify, defend and hold harmless IEMHP, its affiliates, officers, directors, employees, health-care practitioners, agents, licensors, and all third parties mentioned at the Site, from and against all claims, actions or demands, and losses or damages relating thereto, alleged to result from or resulting from your use of the Site and its’ Information or your breach of the Terms.  

7. Links/Linking

This Site may contain links to other websites that are not under the ownership or operation of IEMHP. We do not control, recommend or endorse and are not responsible for these sites or their content, products, services or privacy policies. If you use these sites, you do so at your own risk. Downloading material from certain sites may risk infringing intellectual property rights or introducing viruses into your computer system. You should take notice when you leave this Site and read the privacy policies and terms of these other sites. You should also independently assess the authenticity of any website which appears or claims that it is one of our sites (including those linked to through an email). 

8. Governing Law

This is a Canadian website and its content is intended for Canadian residents only. The laws of the Province of Ontario shall govern this agreement and any dispute or claim based on your use of the Site or the Information. You agree that any action or proceeding related to this agreement or your use of the Site shall only be brought by you in the courts of the Province of Ontario. 

9. General

These Terms constitute the entire agreement between IEMHP and users of the Site. IEMHP and Site users are independent parties and nothing in these Terms shall give rise to an employment, partnership or agency relationship between you and IEMHP. Waiver of any provision of these Terms is invalid unless provided by IEMHP in writing.  

The provisions of these Terms which by their nature require it shall survive and remain in effect until all obligations are satisfied. The invalidity or unenforceability of any provision in these Terms will not affect the validity or enforceability of any other provision, and any invalid provision will be deemed severed.

Failure of IEMHP to enforce any of the terms and conditions hereunder, to exercise any rights or remedies provided herein or by law, or to provide proper notice shall not constitute waiver by of any of rights hereunder nor release you of any obligations under these Terms. These Terms ensure to the benefit of IEMHP its successors and assigns. 

Privacy Statement

IEMHP is committed to protecting your privacy and developing technology that gives you the most powerful and safe online experience. This Privacy Statement applies to the Site and governs data collection and usage. By using the Site, you consent to the data practices described in this statement.

Collection Of Personal Information

Information about your computer hardware and software is automatically collected by IEMHP through use of the Site. This information can include: your IP address, browser type, domain names, access times and referring Web site addresses. This information is used by IEMHP for the operation of the service, to maintain quality of the service, and to provide general statistics regarding use of the Site.

If you chose to register for IEMHP newsletters or become a member, IEMHP collects personally identifiable information, such as your e-mail address, name, organization, job title, country and province in order to complete your registration. You also may provide additional information to IEMHP such as the sector you work in, your education background, years of experience, typical cliental and preferred language.

IEMHP encourages you to review the privacy statements of Web sites you choose to link to from IEMHP so that you can understand how those Web sites collect, use and share your information. IEMHP is not responsible for the privacy statements or other content on Web sites outside of the IEMHP and IEMHP family of Web sites.

Use Of Your Personal Information

IEMHP collects and uses your personal information to operate the Site and deliver the services you have requested. IEMHP also uses your personally identifiable information to inform you of other products or services available from IEMHP and its affiliates. IEMHP may also contact you via surveys to conduct research about your opinion of current services or of potential new services that may be offered.

IEMHP does not sell, rent or lease its customer lists to third parties. IEMHP may, from time to time, contact you on behalf of external business partners about a particular offering that may be of interest to you. In those cases, your unique personally identifiable information (e-mail, name) is not transferred to the third party. In addition, IEMHP may share data with trusted partners to help us perform statistical analysis, send you email, provide customer support, or arrange for deliveries. All such third parties are prohibited from using your personal information except to provide these services to IEMHP, and they are required to maintain the confidentiality of your information.

IEMHP keeps track of the Web sites and pages our customers visit within IEMHP, in order to determine what IEMHP services are the most popular. This data is used to deliver customized content and advertising within IEMHP to customers whose behavior indicates that they are interested in a particular subject area.

IEMHP Web sites will disclose your personal information, without notice, only if required to do so by law or in the good faith belief that such action is necessary to: (a) conform to the edicts of the law or comply with legal process served on IEMHP or the site; (b) protect and defend the rights or property of IEMHP; and, (c) act under exigent circumstances to protect the personal safety of users of IEMHP, or the public.

Security of Your Personal Information

IEMHP secures your personal information from unauthorized access, use or disclosure. IEMHP secures the personally identifiable information you provide on computer servers in a controlled, secure environment, protected from unauthorized access, use or disclosure. When personal information (such as a credit card number) is transmitted to other Web sites, it is protected through the use of encryption, such as the Secure Socket Layer (SSL) protocol.

Online Transactions

All transactions will be processed through the payment gateway, “Cvent”, for the purchase of, or use of, the membership services provided by IEMHP.

The processing of payments will be subject to the terms, conditions, and privacy policies of Cvent (in addition to the additional IEMHP related terms).

IEMHP will not be held responsible for any errors which were initiated, created by, or executed by Cvent. By submitting online payment, you agree to pay IEMHP (through the Cvent payment page) in effect for any use of IEMHP services, in accordance with the subscription plan selected. We reserve the right to correct any payment issues which may occur, regardless of the status of payment (pending, accepted, declined). Please contact iemhp.mail@sickkids.ca with any concerns regarding charges to your credit card.

All purchaser credit card information is secured through the Cvent gateway and will not be stored, in any capacity, with IEMHP; however, some limited personal and or billing information may be maintained for a short period of time only for the purposes of order fulfillment and reconciliation. No data will be vaulted or stored for automatic renewals. Use of the online payment gateway is at the user’s discretion and is subject to the terms of use maintained by Cvent.

Use Of Cookies

The IEMHP Web site use "cookies" to help you personalize your online experience. A cookie is a text file that is placed on your hard disk by a Web page server. Cookies cannot be used to run programs or deliver viruses to your computer. Cookies are uniquely assigned to you, and can only be read by a web server in the domain that issued the cookie to you.

One of the primary purposes of cookies is to provide a convenience feature to save you time. The purpose of a cookie is to tell the Web server that you have returned to a specific page. For example, if you personalize IEMHP pages, or register with IEMHP site or services, a cookie helps IEMHP to recall your specific information on subsequent visits.

IEMHP encourages you to periodically review this Statement of Privacy to be informed of how IEMHP is protecting your information.
